DataPolicy — Terms of Use (English)

This instrument sets out the general terms and conditions of use of the websites “www.datapolicy.com.br”, “www.datapolicy.co”, “www.app.datapolicy.co”, “www.beta.datapolicy.co” and “www.academy.datapolicy.co” (collectively, the “Websites”, or, individually and without distinction, the “Website”), as well as of the services offered through such Websites (the “Services”), within the scope of the Regulatory Risk Management Platform (the “Platform”). These Terms of Use include our Privacy Policy and our Integrity Policy, which contain the rules and conditions governing our use of your personal data.

1. About the Websites’ Service

1.1 The Websites are operated by DATAPOLICY TECNOLOGIA E DESENVOLVIMENTO DE PROGRAMAS S.A. (“DataPolicy”, “We”, “Us” or “Our”). “You”, “Your”, “User” or “Client” means the party using the Websites and/or the Services. Through the Website, DataPolicy offers You access to data and information relating to the Platform.

2. Acceptance of the Terms of Use

2.1 The “Terms of Use” is an agreement governing Your use of the Services and the Websites, which You must read carefully and agree to before using the Websites and the Services.

2.2 By registering for, accessing and using the Websites in any way, including browsing, viewing, downloading, generating, receiving and transmitting any data, information or messages to or from the Websites, You expressly agree to these General Terms.

2.3 If these Terms are amended in any way, the User will be notified of the changes and, in order to continue accessing the service, You must expressly agree to such changes.

3. Access

3.1 You are solely and exclusively responsible for acquiring, installing and maintaining any and all software and hardware required to access the Website and use the Services. DataPolicy is not responsible for any technical difficulties You may experience arising from the use of such software and hardware.

3.1.1 The System will be made available to You through remote access to Our server, subject to all terms and conditions set out in this document.

4. Registration Process

4.1 DataPolicy may require You to register in order to use any free part of the System/Services.

4.2 Once registration is completed and acceptance of the Platform’s Terms of Use is signed, DataPolicy will allow free use of the trial version of the System for a non-extendable period of 15 (fifteen) calendar days, after which the services will be charged according to the Plan chosen and contracted at Registration, unless cancellation is expressly requested within the trial period by e-mail sent to sucessocliente@datapolicy.co.

4.3 When registering, You agree to provide true, accurate, current and complete information (the “Registration Data”) as requested in the registration form, under penalty of liability under the applicable legislation in force, and to keep Your registration with DataPolicy always up to date through Your Organization Panel and other DataPolicy communication channels, immediately reporting any changes to Your registration data.

4.4 Upon completing the registration process, You will receive a password and an account designation, and such data is personal and non-transferable (the “Access Data”). You are solely and exclusively responsible for maintaining the confidentiality of such data, as well as for all activities carried out using Your Access Data.

4.5 You undertake to notify DataPolicy immediately of any unauthorized use of Your Access Data or any other security breach, including the misplacement, loss or theft of Your Access Data.

4.6 DataPolicy is not responsible for any loss or damage arising from Your failure to safeguard Your access password or to comply with the other provisions set out in this section.

5. Our Obligations

5.1 DataPolicy undertakes to keep the contracted service available on a continuous basis, except: (i) during planned interruptions (which We will notify at least 8 hours in advance by e-mail, by a notice in the System, or on the website http://status.datapolicy.com.br, and which will be scheduled, as far as possible, during weekends or outside business hours on weekdays); or (ii) any unavailability caused by acts of God or force majeure, government actions, floods, fires, earthquakes, civil unrest, acts of terrorism, strikes or labor disputes (except those involving DataPolicy employees), or failures or delays of the Internet service provider.

5.2 To make available for download a file containing the data on keywords, stakeholders and Regulations, attachments and files in Comma Separated Value (CSV) format, for a period of 30 (thirty) days from the effective cancellation of the services. After this period, DataPolicy will not be obliged to keep or provide the CONTRACTING PARTY’s search and research data, and the CONTRACTING PARTY acknowledges that such data will be removed from Our systems, except where prohibited by law or court order.

5.3 We undertake to provide remote or chat support, depending on the paid plan, regarding the use of the System. Requests sent by e-mail to sucessocliente@datapolicy.co will be answered by the next business day, during business hours (9 a.m. to 6 p.m., Brasília time).

5.3.1 The remote support service provided by DataPolicy will comprise guidance and advice on the proper use of the software, as well as clarification of technical questions and problems relating to the installation, configuration and operation of the software, by telephone or online, covering the following matters: (i) questions relating to the operational use of the contracted software; (ii) assistance in identifying and verifying the causes of possible errors in the contracted software; (iii) guidance on workarounds for the errors identified; (iv) information on errors previously identified by the CLIENT and duly reported, in writing, to DataPolicy for resolution; (v) pursuant to Article 8 of Law No. 9,609/98 (Software Law), the support service will apply only to the latest version of the software released or announced.

5.3.2 DataPolicy may, at its sole discretion, decline to provide support if the CLIENT does not keep its internet browsers up to date, as well as an internet connection with a minimum speed of 10 Mbps, as set out in the Adhesion Term, in this agreement, or on the CONTRACTED PARTY’s website https://www.datapolicy.co.

5.4 Since DataPolicy uses third-party resources to provide the service, if such third parties cease to make the API or public information available under reasonable conditions for the services, DataPolicy may discontinue the provision of such resources, without the User being entitled to any refund, credit or other compensation.

6. Exclusion of Damages

6.1 DataPolicy is not responsible for damages and losses of any kind caused by third parties who gain access to the system through Your profile and Access Data. DataPolicy will also not be held liable for access to, interception, deletion, alteration, modification or manipulation of files owned by the contracting party, when resulting from access by unauthorized third parties in a physical or virtual environment external to DataPolicy.

7. Your Obligations

7.1 You are fully and exclusively responsible for the acts performed by users and third parties You have authorized to access the System through the creation of new user accounts.

7.2 You undertake to take all security measures necessary so that Your personnel and/or third parties do not breach any of the clauses set out in these Terms, nor any of DataPolicy’s intellectual property rights, and to notify DataPolicy immediately of any infringement of our intellectual property that comes to Your knowledge.

7.3 You undertake to take all measures necessary to ensure that the System is used in accordance with these Terms, so that the System is not misused, including, without limitation, by sending SPAM and storing offensive and illegal content.

7.4 You undertake not to use robots, APIs or any other means, other than those previously and formally authorized by DataPolicy, to extract data from the System or for any purpose directly related to the System and the services provided by the CONTRACTED PARTY.

7.5 Any indication of non-compliance with any obligation set out in this clause authorizes DataPolicy, without prior notice to the User, to block or suspend use of the System for an indefinite period, and You shall be solely and exclusively responsible for any damages You may suffer from the improper use of the System.

8. Changes to the Services or the Websites

8.1 To ensure the best and optimized operation of the platform, DataPolicy reserves the right to modify, suspend, create, restrict, terminate or discontinue any functionality, service or feature of the platform, provided that no essential feature of the contracted product is mischaracterized. Accordingly, DataPolicy may also expand or impose limits on certain features, functionalities or services, or restrict access to parts of the Websites and/or the Services.

8.2 Any improvements or additions to the Websites or Services will be subject to these Terms of Use, unless expressly provided otherwise. Different terms and conditions may be introduced for specific Services, as appropriate.

8.3 DataPolicy reserves the right, at any time and for any reason, to control and/or change the appearance, development and/or operations of the Website at Our sole discretion, as well as to establish and modify the procedures for You to contact Us.

9.1 The content of any websites You access from Our Websites is entirely beyond Our control, and access to and use of such sites is at Your own risk. The inclusion of these links on the Websites does not imply endorsement of or consent to any products, services, content, information or materials offered by, or accessible to You on, third-party websites, and DataPolicy is not responsible for any material contained on any other website. Any opinions or recommendations expressed on such other websites are solely those of the independent providers and are not, nor do they represent, the opinions or recommendations of DataPolicy.

9.2 All copyrights and trademarks accessible through links on the Websites are the property of the respective website owners or their licensors.

10. Intellectual Property

10.1 The Websites, the Services, their structures and all functionalities contained therein, all information, data, texts, images and graphics, and all components used on the Websites (“Content”) are protected by copyright and other intellectual property rights.

10.2 You acknowledge that DataPolicy holds all rights, title and interest in the System, and that You will not take advantage of Your use of the Website to seek to acquire any rights of Your own over it.

10.3 You may print a copy of individual sections of our Websites for Your personal use, provided that no copyright or proprietary notice is removed. The information contained on the Websites and their Content must not otherwise be modified, reproduced (in whole or in part), distributed, transmitted to any other person or entity, incorporated into any document or other material, or linked to (electronically or otherwise) without the express written authorization of DataPolicy (electronically or otherwise).

10.4 Licenses to use Our Websites are granted on a non-exclusive, non-transferable and non-sublicensable basis, and may be revoked at any time with respect to any and all Content provided to You for exclusive use in processing internal systems.

10.5 DataPolicy grants no other license or authorization over its industrial and intellectual property rights or over any other property or right related to the Services and/or the Websites, and reserves any and all rights over its registered trademarks, copyrights and other intellectual property rights available on Our Websites, their use being prohibited without our express authorization, under penalty of constituting civil and criminal offenses.

11. Fees

11.1 For the contracted services, You will pay DataPolicy the amounts corresponding to the plan chosen, according to the price list available at www.datapolicy.co/precos or in the commercial proposal.

11.1.1 Our services are prepaid, i.e., the system will be made available upon confirmation of the first payment, unless otherwise provided in the Proposal(s). The amount of Your plan will be charged monthly, or the total contract value will be paid in a single installment.

11.1.2 If You opt for the personalized service offered by DataPolicy, You will be subject to the payment of additional amounts according to the current price list available at www.datapolicy.co/precos or in the commercial proposal.

11.2 If You exceed the functions provided for in Your contracted plan, the monthly installment will be automatically adjusted according to the current price list.

11.3 Your plan must be paid by credit card, bank slip (boleto) or bank deposit, and by agreeing to these Terms, You authorize the recurring debit of the amounts due to Your credit card. If the card is cancelled for any reason, You undertake to provide the details of a new card to avoid any suspension of the use of the system or of the provision of the services.

11.4 Default and Suspension of Access: If any installment remains unpaid for more than 10 (ten) days, DataPolicy is authorized, without prior notice, to suspend Your access to the System. Suspension of access will prevent You from entering new data, but the contracted services will continue to be provided based on the actions taken up to the suspension of access.

11.4.1 If payment is not identified within 40 days after the due date, Your account will be automatically cancelled. To use Our services again, You must open a new account with Us.

11.5 Amounts not paid by their respective due date will be subject to a 2% (two percent) fine and interest of 1% (one percent) per month until actual payment, without prejudice to any other right of DataPolicy under these Terms.

11.6 If the Agreement is extended after the end of the term set out in the Proposal, the monthly installments will be adjusted every 12 (twelve) months, always counted from the date of signature of these Terms, by the accumulated IGP-M/FGV index for the adjustment period, with no negative variation applied, or by any other index that may replace it or, in the absence of a substitute, by the simple average of the main economic indices measuring accumulated annual inflation, starting on the date of the extension.

11.7 DataPolicy is hereby authorized, at its sole discretion, to discount, pledge, assign or transfer, by endorsement or civil assignment of credit, in whole or in part, all credit rights and guarantees arising from this agreement, regardless of the User’s consent, with the assignees, creditors and beneficiaries of the credit being subrogated to all credit rights under this instrument.

12. Cancellation

12.1 To cancel the services, You must give formal written notice of Your intention to terminate through DataPolicy’s official communication channels.

12.2 Cancellation may be requested at any time, and the plan will remain active until the end of the paid period.

13. Confidentiality and Data Protection

13.1 Each party undertakes to keep and treat as confidential, and not to disclose to third parties, any Confidential Information relating to the System and the services, user data, trade secrets and the like, nor to use such information for any purpose other than that provided for in this Agreement.

13.2 Both the parties and their legal representatives, officers, employees, agents and advisors, including lawyers, auditors and financial advisors, are subject to the duty of secrecy and confidentiality set out in this Agreement.

13.3 Notwithstanding the provisions of this Agreement, Confidential Information may be disclosed in the following cases: (i) applicable legal requirement; (ii) court order or decision, or in an administrative or arbitration proceeding; or (iii) request from any authority or regulatory body in Brazil.

13.4 The party responsible for breaching the confidentiality obligations of this Agreement shall compensate the disclosing party for the damages actually suffered by it, without prejudice to other applicable rights or remedies.

13.5 The confidentiality obligation set out herein shall remain in force for as long as the agreement lasts and for 5 (five) years after its termination.

13.6 The use and processing of data and information obtained through the Internet capable of identifying natural persons, as well as the content of or private communications occurring during the provision of the services (the “Personal Data”), shall be carried out in accordance with the applicable Brazilian legislation in force.

13.6.1 DataPolicy may only use Users’ Personal Data with their authorization, as well as upon acceptance of DataPolicy’s Terms of Use and Privacy Policy, such use being solely for the improvement of DataPolicy’s products and algorithms, and for the preparation of reports, metrics and other business intelligence solutions and software for its own use.

13.6.2 The Parties undertake to follow rules on privacy, data protection, confidentiality or information security requirements, in accordance with best practices and applicable legislation, in order to ensure the confidentiality and proper use of Personal Data and its non-disclosure, except as authorized by this Agreement or by the legislation in force. The Parties shall maintain administrative, technical and physical safeguards designed to protect Personal Data against accidental, unlawful or unauthorized destruction, loss, alteration, access, disclosure or use.

13.6.2.1 The CONTRACTING PARTY confirms that it has had and has access to the details of how DataPolicy processes Personal Data, set out in the privacy policy, which forms an integral part of this agreement and is available at https://datapolicy.co/politica-de-privacidade/.

13.6.3 Your Personal Data will be deleted from DataPolicy’s systems upon request of the data subjects or when it is no longer necessary for the Permitted Uses, unless there is any other reason, legal or contractual basis for its retention, such as a legal obligation to retain Personal Data or the need to preserve it to safeguard DataPolicy’s legitimate rights and interests.

13.6.4 You agree and take responsibility for informing the data subjects of the detailed procedure for disabling the collection, processing and sharing of Personal Data, as well as for requesting its deletion, providing, for example and where applicable, links offering such options.

13.6.5 You represent that You have express authorization from the public or private sources, whether or not under Your responsibility, to collect, process and share Personal Data with DataPolicy for the Permitted Uses, assuming full responsibility towards DataPolicy, the data subjects and third parties for such authorizations. You further warrant that You make all reasonable efforts to ensure that any and all collection, use, processing and storage of data collected in the context of Your relationship with the data subjects, whether commercial or not, and of this Agreement, will always be carried out with the express, free and informed consent of the data subjects, for the Permitted Uses and for the sharing provided for in this Agreement, in compliance with applicable legislation.

13.6.6 You represent that You have not acquired distribution lists, media addresses or e-mail addresses from unrelated third parties or without the consent of the data subjects, nor obtained the Data in breach of any laws or regulations applicable to You, further representing, without limitation, that You have not taken part in breaching any duty of confidentiality owed to business partners with whom You have Your own contracts, including financial and tax secrecy.

13.6.7 If You breach any rule or provision agreed with the data subjects in relation to the object of this Agreement, or any legislation applicable to the case, DataPolicy reserves the right to terminate this Agreement without any charge or penalty, without prejudice to recovering, by way of a right of recourse, any losses and damages incurred.

13.6.8 Under no circumstances shall DataPolicy be liable for any tort, negligence, breach of contract or other civil or criminal offense that You or Your partners, service providers, account providers, employees, suppliers, distributors or agents cause to third parties or to the data subjects, including the unauthorized use of their data, it being Your sole responsibility to bear any and all damages, monetary or otherwise, arising from Your indirect, direct or incidental conduct, with DataPolicy retaining the right of recourse in such situations.

14.1 Under this Agreement, DataPolicy warrants only the regular use of the specifically contracted software, in accordance with its functionalities, for the term of the CLIENT’s subscription counted from the proven adhesion to this Agreement, which is deemed the software’s technical validity period, pursuant to Articles 7 and 8 of Law No. 9,609/98.

14.2 The warranty of regular use of the software is limited solely to correcting any faults detected in the system, subject to the limits and restrictions provided by Law and in this instrument. Should IT services be required, particularly implementation, training, support, maintenance, customization, development and consulting services, among others, such services must be contracted additionally, under a separate, independent agreement, and DataPolicy may assign to third parties the right to provide these and/or other services that the CLIENT may require, to whomever and in whatever manner it deems fit.

14.3 DataPolicy emphasizes that occasional errors and technical faults are common and inherent to the nature of software, and such errors do not constitute a breach of any kind of this Agreement. DataPolicy will not be responsible for faults arising from improper and irregular use of the software. DataPolicy is not responsible for delays by the CLIENT in reporting any errors or technical faults found in the system.

14.4 DataPolicy will not be liable for any indirect, incidental or consequential damages, or for loss of profits, loss of revenue or data, or business failures, incurred as a result of the use of the software and/or the results it produces, by the CLIENT or by any third parties. In any event, DataPolicy’s liability is unconditionally limited to the total amount set out in this instrument.

14.5 DataPolicy is not responsible for any damages related to any external program, or those commonly known as computer viruses, for operating failures by unauthorized persons, failures of the Internet, telecommunications infrastructure, electricity, air conditioning, radioactive or electrostatic elements, pollutants or the like, nor for the use, installation or servicing of other computer programs, whether licensed or not, such as other applications, databases, operating systems and libraries, nor for damages caused to equipment, other computer programs, networks or third parties, directly or indirectly, or for any other cause not attributable exclusively to DataPolicy’s fault.

14.6 DataPolicy is not responsible for the non-operation or improper operation of the software due to failures in the CLIENT’s equipment (hardware), or failures in computer networks, the internet, telecommunications, databases and storage locations, all of which are the sole and exclusive responsibility of the CLIENT.

14.7 The CLIENT shall be responsible for any damages caused by acts of its employees, agents or third parties, such as operating errors, changes to system files not made or authorized by the CONTRACTED PARTY, as well as those caused by other programs (software) or by equipment (hardware) failures.

14.8 The CLIENT shall likewise be responsible for any delays or damages resulting from the inadequacy of its logistics, IT, electrical, internet and telecommunications infrastructure to the minimum specifications and basic requirements set out in this Agreement or available on the CONTRACTED PARTY’s website https://www.datapolicy.co/requisitos.

14.9 You are responsible for all data and information entered into the system.

15.2 Under no circumstances shall DataPolicy be liable for any indirect damages of any kind that may, directly or indirectly, be attributable to the use of, or inability to use, the Websites, any content published on the Websites, these General Terms, the Services or any information, data, software or service provided through the Websites, even if advised of the possibility of such damages or if such damages were foreseeable.

16.2 You agree that: (i) DataPolicy reserves the right, at its sole discretion, to periodically update the software, including the release of improvements and new versions of the contracted software, in order to keep it technically up to date; (ii) the need for and feasibility of any updates to the contracted software requested by the CLIENT will first be analyzed by DataPolicy, and the final decision on whether or not to implement such updates rests solely with DataPolicy; (iii) the CLIENT agrees that DataPolicy may use its feedback, suggestions or ideas in any way, including in future modifications of the software, other products or services, and advertising or marketing materials; (iii) the CLIENT grants DataPolicy a perpetual, worldwide, fully transferable, sublicensable, irrevocable, fully paid-up and royalty-free license to use the feedback provided to DataPolicy in any way.

16.3 DataPolicy reserves the right to immediately suspend or block Your access to the Websites or to any Service, and to remove any information or data that we consider to be in breach of any of these General Terms, without prior notice, and/or to disclose such information when requested by public bodies or by court order.
